1. Platform Overview

RepairM8 ("we," "our," or "us") operates as a marketplace platform connecting customers with independent automotive service providers ("Shops"). We do not perform automotive repairs directly and act solely as an intermediary platform.

Business Model

RepairM8 generates revenue through platform fees charged to completed service transactions. Our business model is based on:

  • Payment Processing: We process all customer payments and distribute funds to shops
  • Platform Fee: 20% service fee deducted from service amount (not added to customer bill)
  • Value Provided: Technology platform, customer acquisition, payment security, dispute resolution
  • Revenue Model: Platform fees cover operating costs, development, and profit

2. Development Status

Important: RepairM8 is currently in active development and not fully operational. Features, functionality, and services may change without notice. By using this platform, you acknowledge that you are accessing a development version.

3. Platform Fees and Pricing

IMPORTANT FEE DISCLOSURE

RepairM8 operates as a payment processor and platform facilitator. We collect payments from customers and retain a 20% platform fee from the service amount before remitting the balance to shops.

Fee Structure & Legal Basis:

  • Platform Fee: 20% of service amount (not added to customer's bill)
  • Sales Tax: Collected separately and remitted in full to shop
  • Credit Card Processing: Included in platform fee
  • Legal Basis: Service fee for platform access, payment processing, and marketplace facilitation

Payment Flow Example:

Service Quote: $100.00

Sales Tax (6%): $6.00

Customer Pays Total: $106.00


RepairM8 Platform Fee (20% of service): $20.00

Shop Receives (Service - Platform Fee): $80.00

Shop Receives (Sales Tax - Full Amount): $6.00

Total Shop Payment: $86.00

Platform fee covers: Credit card processing (2.9% + $0.30), technology infrastructure, customer support, payment security, dispute resolution, and business operations.

4. User Accounts and Registration

  • • You must provide accurate and complete information during registration
  • • You are responsible for maintaining the security of your account credentials
  • • You must be at least 18 years old to create an account
  • • One account per person or business entity
  • • You must verify your phone number to receive service notifications

5. SMS Notifications and TCPA Compliance

By providing your phone number, you expressly consent to receive automated text messages from RepairM8 using an automatic telephone dialing system (ATDS) at the number provided.

CONSENT IS NOT REQUIRED FOR PURCHASE

  • Message Types: Service quotes, job updates, payment confirmations
  • Frequency: Varies (2-10 messages per service request)
  • Carriers: Compatible with all major US carriers
  • Charges: Message and data rates may apply
  • Opt-Out: Text STOP to any message to unsubscribe
  • Help: Text HELP for assistance

6. Payment Processing and Platform Relationship

Payment Collection and Distribution

RepairM8 acts as the payment processor for all transactions. When you pay for services, you are paying RepairM8, not the shop directly. We then distribute the payment to shops minus our platform fee.

Legal Structure

  • Payment Flow: Customer → RepairM8 → Shop (minus platform fee)
  • Platform Fee Justification: Payment processing, technology infrastructure, customer support, dispute resolution
  • Sales Tax: We collect applicable sales tax and remit 100% to shops
  • No Markup: We do not add fees to the shop's quoted price
  • Transparent Pricing: All fees disclosed before payment authorization

Independent Contractor Relationship

Shops are independent contractors, not employees or agents of RepairM8. All service agreements are directly between you and the Shop. We do not control, endorse, or guarantee the quality, safety, or legality of services provided by Shops.

7. Service Limitations and Disclaimers

  • • RepairM8 does not guarantee the quality, safety, or legality of services provided by Shops
  • • All transactions and agreements are directly between customers and Shops
  • • We do not warrant the accuracy of Shop information, pricing, or availability
  • • Service requests may not always result in successful connections with Shops
  • • Vehicle repair involves inherent risks that we are not responsible for

8. Warranties and Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPAIRM8 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM OR SERVICES OBTAINED THROUGH SHOPS.

10. Indemnification

You agree to defend, indemnify, and hold harmless RepairM8, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from your use of the platform, violation of these Terms, or violation of any rights of another party.

11. Dispute Resolution and Arbitration

PLEASE READ CAREFULLY - THIS AFFECTS YOUR LEGAL RIGHTS

Any dispute arising from these Terms or your use of RepairM8 shall be resolved through binding arbitration conducted by JAMS under its Streamlined Arbitration Rules, except you may assert claims in small claims court if eligible.

CLASS ACTION WAIVER: You agree to resolve disputes individually and waive your right to participate in a class action lawsuit or class-wide arbitration.

12. User Conduct

You agree not to:

  • • Use the platform for any illegal or unauthorized purpose
  • • Submit false or misleading information
  • • Interfere with or disrupt the platform's operation
  • • Attempt to gain unauthorized access to other user accounts
  • • Use the platform to spam or harass other users
  • • Circumvent the platform to avoid fees
  • • Scrape or copy platform content without permission

13. Intellectual Property Rights

All platform content, features, and functionality are owned by RepairM8 and protected by copyright, trademark, and other intellectual property laws. You grant us a non-exclusive, worldwide, royalty-free license to use any content you submit to the platform.

14. Refunds and Cancellations

Refund Policy

Full Refunds (100% of payment):

  • • Service not started within 48 hours of scheduled time
  • • Shop cancellation for any reason
  • • Customer cancellation before quote acceptance
  • • Platform technical issues preventing service

Partial Refunds:

  • • Incomplete services: Pro-rated based on work completed
  • • Customer cancellation after work begins: Minus completed work + materials
  • • Disputed services: Held in escrow pending resolution

Platform Fee Handling:

  • Full refunds: RepairM8 absorbs credit card processing costs
  • Partial refunds: Platform fee refunded proportionally
  • Dispute resolution: Platform fee held until resolution

Refund processing time: 5-7 business days to original payment method. Sales tax refunded in full when applicable.

15. Geographic Restrictions

Services are available only in the United States. You must be physically located in the US to use our services. Currently operating in Florida with planned expansion to other states.

16. Force Majeure

RepairM8 shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, pandemics, natural disasters, war, terrorism, labor disputes, or equipment failures.

17. Accessibility

18. Termination

We reserve the right to terminate or suspend accounts at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or the platform. You may terminate your account at any time through account settings.

19. Changes to Terms

We may update these Terms of Service at any time with 30 days notice via email or platform notification. Continued use of the platform after changes constitutes acceptance of the new terms.

20. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any legal action must be brought in the courts of Hillsborough County, Florida, unless resolved through arbitration.
